Introduction
This agreement contains the terms and conditions governing the use of the Qoyod system (hereinafter referred to as "the Agreement" and/or "Terms and Conditions") and constitute a binding agreement between you and Automated Cloud Communications and Information Technology Co., a Saudi limited-liability company with commercial register number: 1010421365
Your subscription to the Qoyod system and your use of the services it offers constitute your acknowledgement, understanding, and acceptance of this Agreement.
Definitions
Qoyod: Automated Cloud Communications and Information Technology Co., responsible for managing and operating the Qoyod system.
The Qoyod System / the System / the Service: The cloud accounting system Qoyod, which provides accounting and e-invoicing services and enables customers and users to record, store, and use their accounting data in the form of invoices or reports.
The User / Users / You: the customers subscribed to the Qoyod system.
Qoyod Services / the Services: The services offered within the Qoyod system at the fees specified for each service.
Eligibility to receive the services
You represent and warrant the following: 1.
1. Your use of the Qoyod system has never previously been suspended, nor have you been prevented from using or accessing it at any time.
2. You are not a competitor of Qoyod, and you do not offer any product that competes with the services provided by Qoyod.
3. You have full power and authority to enter into this contract and in doing so you will not be in violation of any law or contract.
Representations and warranties
You represent and warrant that you will: 1.
1. Comply with all laws and regulations in force in the Kingdom of Saudi Arabia.
2. Provide accurate and correct information to Qoyod and keep it updated periodically.
3. Review and comply with any notices sent through Qoyod or mentioned on Qoyod's platforms regarding your use of the services.
4. You will not duplicate sub-licenses, issue, publish, transfer, distribute, execute, display, sell, or re-classify Qoyod's services; otherwise you will be deemed to have transferred or commercially exploited the service, except as permitted under this Agreement.
5. You will use the service for lawful purposes only, and will not use the services to send or store any unlawful materials or with the intent of fraud.
6. You will not use the service to harm, harass, or disturb anyone.
7. You will not disrupt the proper operation of the Qoyod system.
8. You will not attempt to damage the service in any form.
9. You will not copy or distribute the system, the services, or other content without obtaining written permission from Qoyod.
10. You will keep your account password, or any identification we provide that grants access to your account, secure and confidential.
11. You will provide us with all evidence that proves your identity at Qoyod's sole discretion.
12. Qoyod reserves the right to refuse to provide the service or to allow use of the system without giving reasons.
Subscription term and access validity
1. Your access to the Qoyod system is tied to the duration of your subscription.
2. The Qoyod subscription auto-renews for an equivalent term. If you do not wish to auto-renew, you must notify us through the customer-support channels or by entering the subscription settings and selecting "Cancel subscription" and deleting the bank-card data, at least five (5) business days before the end of the current subscription term.
3. Qoyod reserves the right to block your access to the system and the data stored on it immediately upon expiry of your subscription term if you choose not to renew.
Fees and payment terms
1. Subscription to the Qoyod system is offered at the subscription fees specified on the Pricing page.
2. You acknowledge that your access to the Qoyod services is tied to the payment of the subscription fees via the available payment options, including electronic payment or bank transfers to our accounts.
3. If you choose to pay via electronic payment, you are responsible for the accuracy of the bank-card data entered, and you acknowledge that subscription-renewal fees will be charged automatically to the card. If you do not wish to auto-renew for a similar term, you must delete the bank-card data from the Qoyod system.
4. Qoyod reserves the right to amend the subscription fees from time to time, with amendments taking effect from their date. Your continued access to the Qoyod system constitutes acceptance of these price amendments.
5. The Qoyod subscription fees do not include the subscription fees for any of the Qoyod services.
Subscription refund policy
The user may submit a subscription refund request "Refund Request" under the following conditions:
1. Submitting the request within the following periods:
Annual subscriptions: The user may submit a refund request for annual subscriptions within 30 days of the activation date of the new subscription
Monthly subscriptions: The user may submit a refund request for monthly subscriptions within 7 days of the activation date of the new subscription
2. The user may submit a refund request for annual or monthly subscriptions at any time if the reason is a technical fault that fully disrupted the user's access to the service for more than 24 hours after the technical-support team was notified of the fault
3. The Subscription refund policy applies only to the user's first subscription period, not to any subsequent renewals, whether the renewal happened automatically or at the user's request
4. The user's right to submit a refund request lapses if they have benefited from any of the following services:
- Qoyod Tahseel service
- Bookkeeping service
Steps to submit a refund request
If you wish to submit a subscription-refund request, please follow these steps: 1.
1. Verify your eligibility to submit the request under the Subscription refund policy
2. You can submit the refund request by contacting the customer-support team through the designated channels, or by entering the subscription-settings page and selecting "Cancel subscription".
3. Processing the refund request takes 3-5 business days from the date of submission, and results in one of two outcomes:
Request denied: if the submission conditions are not met, the customer-support team will inform you of the denial and explain the reasons
Request approved: if the submission conditions are met, the customer-support team will inform you of the approval and the refund will be processed within 7-14 business days of being notified
Scope of the license
Qoyod grants you a non-exclusive, non-transferable, non-assignable, non-sublicensable, non-revocable license to obtain and use our services only for the personal purpose specified in accordance with this Agreement, You must therefore:
1. Not make the Qoyod system or its services available, lease, rent, assign, resell, distribute, or sublicense the system or the services to any third party.
2. Not modify, excerpt, translate, summarize, or create a derivative work based on decompiling or reverse-engineering the design of the Qoyod system, or otherwise identify, attempt to identify, or attempt to access the source code or internal design of the system, the services, or any text, multimedia (images, audio, video files), data, or other information provided by Qoyod or by the third-party service providers.
3. Not delete, change, or otherwise modify any copyright or other official notice contained in the system or the services.
4. Not deliberately transfer or distribute the system or the services, or permit them to be downloaded for use other than as specified herein.
5. Not claim to grant the service or permit access to it to any person other than yourself.
6. Not allow the sharing of the username, password, or any other access credentials to the Qoyod system.
Intellectual property rights
All intellectual property rights in the Qoyod system, its services, and all related materials or materials appearing on it (including any content you submit or insert) are the property of Qoyod. You must not reproduce or permit any person, for any reason, to use or reproduce the services or any trademarks or other trade names appearing in the system.
Indemnification
By accepting this Agreement and using the service, you agree to defend, hold harmless, and release Qoyod, its affiliates, its licensors, and each of its officers, directors, other users, employees, attorneys, and agents from any claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) that arise out of or relate to the following: 1.
1. Your violation or breach of any term of this Agreement or of any applicable law or regulation, whether or not referenced in this Agreement.
2. Your violation of any rights belonging to third parties, including the service providers contracted with Qoyod.
3. Your misuse of the service.
Legal liability
1. The information, recommendations, and services, or any of them, provided to you on or through the website and the service are for general informational purposes only and do not constitute advice. Qoyod will do its best to keep the website and the service and their content accurate and up to date, but it does not warrant that the (content of the) website or the service is free of errors, defects, malware, or viruses, and does not warrant the accuracy or currency of the website and the service.
2. Qoyod is not liable for any damages arising from the use (or inability to use) of the website or the service, including damages caused by malware or viruses, nor is it liable for the inaccuracy or incompleteness of the information, the website, or the service, unless such damage results from willful misconduct or gross negligence on the part of Qoyod.
3. Qoyod is also not liable for any damages arising from the use (or inability to use) of electronic communication channels with the website or the service, including, by way of example and not limitation, damages resulting from the non-delivery or delay in delivery of electronic communications, their interception or manipulation by third parties or by the computer programs used for the electronic communications, and the transmission of viruses.
4. Qoyod strives to make its electronic services available year-round, 24 hours a day / 7 days a week, and in all cases does not warrant that the Qoyod system will operate uninterrupted throughout the year; there will be outages for maintenance, periodic updates, or the addition of new features to the service.
Service modifications
Qoyod reserves the right, at its sole discretion, to do any of the following at any time: 1.
1. Update or modify the service or any related materials, and/or discontinue publishing its services. If Qoyod decides to discontinue publishing its services, it may at its discretion replace the services with similar materials.
2. Modify, change, suspend, or discontinue the service (including, by way of example and not limitation, the provision of any feature, database, or content) at any time by publishing a notice on the website or by sending you notice through the service or by email. Qoyod may also place restrictions on certain features and services, or limit your access to parts of the service or the service as a whole, without notice or liability.
Limitations of liability
Qoyod makes no warranties, express or implied, relating to the system and its services; all of them are provided ""as is"". Qoyod expressly disclaims liability, to the maximum extent permitted by law, for all warranties, including but not limited to: warranties of fitness for a particular purpose, fitness for particular specifications and markets, and the merchantability of property rights, and Qoyod does not warrant the accuracy, content, or timing of the services or the results the user may or may not obtain. Neither Qoyod, its agents, its licensors, nor its affiliates will be liable under any circumstances for direct or indirect damages, penalties, special damages, or incidental or consequential damages, including by way of example and not limitation: damages arising from lost profits, business interruption, loss of business information, or other financial losses arising directly or indirectly from access to and use of (or failure to use) the services or reliance on them.
In all cases, by accepting the terms and conditions of this Agreement you acknowledge that Qoyod's data-retention limits are six months for trial subscriptions and two years for paid subscriptions, after which Qoyod has the right to completely delete this data from its service and dispose of it in the manner Qoyod deems appropriate.
Security
You acknowledge that you are solely responsible for the privacy of the services and are solely responsible for their use by any other person using your account and/or username, password, or access credentials. You also agree to notify Qoyod if you become aware of any loss, theft, or unauthorized use of any password, username, IP address, or other means of access to the services.
Dealings with third parties
While using the website and the service, links may from time to time be provided to websites owned and controlled by third parties to correspond with the third party, to purchase products or services from them, or to participate in their promotions. Those links take you outside the website and the service, and are outside Qoyod's control.
While using the website and the service, you may correspond with, purchase goods or services from, or participate in promotions offered by service providers, advertisers, or sponsors that display their goods or services via a link on the website or through the service. Those links take you outside the website and the service, and are outside Qoyod's control. The websites to which you may link have independent terms and conditions as well as an independent privacy policy. Qoyod bears no responsibility for the content of those websites or their activities and cannot be held accountable for them. You therefore assume the full risk arising from visiting or accessing those sites.
Please note that those other sites may send their own cookies to users, collect their data, or request personal information; we therefore recommend that you review the terms of use and privacy policies on those sites before using them.
Expiry and termination of the agreement
1. This Agreement expires with the end of your subscription to the Qoyod system and your decision not to renew.
2. You may terminate the Agreement by canceling your subscription and disabling your account, by notifying us of your intent to cancel through the customer-support channels or by entering the subscription settings and selecting "Cancel subscription".
3. Qoyod has the right to terminate this Agreement with immediate effect at any time by disabling your account and blocking your access to the system in any of the following cases:
4. Violation or breach of any term of this Agreement.
5. If Qoyod considers that you are misusing the system.
6. For any other reason subject to Qoyod's absolute discretion.
Severability
1. If any of these terms and conditions is found to be invalid or unenforceable under a statutory provision or judicial ruling, this does not affect the validity or enforceability of the remaining terms and conditions.
2. If any provision in these terms and conditions is null, or if a provision is unacceptable under certain circumstances per the standards of reasonableness and fairness, and only to that extent, the parties shall substitute it with a provision acceptable in light of all circumstances and consistent with the void provision as far as possible, having regard to the content and purpose of this Agreement.
Amendments to the Terms and Conditions
These terms and conditions may be subject to amendments and updates from time to time, and such amendments take effect immediately without prior notice. Your continued access to and use of the service indicates your acceptance of these amendments or updates after they take effect.
Notice
Qoyod may send a notice by issuing a general notice about the service, by sending an email to the address registered in your account information with Qoyod, or by sending mail by regular post to the address registered in your account information with Qoyod.
Dispute resolution and governing law
1. This Agreement is governed by, and any disputes arising from it shall be settled under, the laws in force in the Kingdom of Saudi Arabia.
2. In the event of any disagreement or dispute relating to the execution or interpretation of this Agreement, it shall be resolved through amicable negotiations between Qoyod and the user. If no amicable resolution is reached, the dispute shall be referred to the competent court in the Kingdom of Saudi Arabia.
