QTahseel Terms and Conditions

INTRODUCTION

This Agreement (hereinafter referred to as “Agreement” or “Terms and Conditions”) is entered by and between you as a user of QTahseel Service and Auto Cloud Company for Telecommunication & Information Technology, a Saudi limited liability company with C.R No. 1010421365, these Terms and Conditions constitute a legally binding Agreement that governs your access to and use of QTahseel.

By subscribing to QTahseel you acknowledge that you have read, understood and accepted these Terms and Conditions.

DEFINITIONS

Qoyod/ we: refers to Auto Cloud Company for Telecommunication & Information Technology the owner and operator of QTahseel as an add-on service to Qoyod Cloud Accounting Software.

QTahseel/ QTahseel Service: refers to the service as defined in these Terms and Conditions.

User/ you: refers to Qoyod Software clients who subscribe to QTahseel.

Qoyod Software: refers to Qoyod Cloud Accounting Software.

Collection Officers: refers to Qoyod employees who are responsible to perform the collection activity.

Invoices/ Due Invoices: refers to the user’s due invoice which is generated by Qoyod Software and it seeks to collect through QTahseel.

Debtor/ Debtors: refers to the user’s customers who are obligated to pay a due invoice.

QTahseel SERVICE

QTahseel is a collection service provided by Qoyod to facilitate the collection of your due invoices upon your request for a service fee as determined in these Terms and Conditions.

1. The collection process shall commence upon your request;
2. You shall choose the invoices you seek to collect through QTahseel, taking into account the maximum age limit of the invoice;
3. You hereby acknowledge and agree to authorize Qoyod to collect your due invoices on your behalf upon your request;
4. Qoyod will verify each invoice information including: invoice amount and debtor identity before commencing the collection process;
5. All the payment shall be made by each debtor directly to the user;
6. Qoyod will not accept any direct payment of the due invoices either in cash or by wire transfer or any other method;
7. Qoyod will maintain full and accurate records for each user including the communication records, collected invoices records;
8. Qoyod is obligated to perform the service efficiently with all the due care and for the best interests of the User;
9. Qoyod makes no guarantees to you in relation to the collection of your invoices.

QTahseel SUBSCRIPTION

1. The Service subscription is exclusively available to Qoyod Software clients.
2. For the purpose of activating and using QTahseel you will be required to complete the following steps:

1. Subscribe to the service;
2. Pay the subscription fee;
3. Upload a copy of your valid IBAN Letter;
4. Upload a copy of your Commercial Registration Certificate;
5. Upload a copy of your VAT registration Certificate;
6. Upload an Authorization Letter certified by the Chamber of Commerce (optional).

SUBSCRIPTION TERM

Your subscription term starts when you pay the subscription fee, and it will remain effective until the end of your Qoyod Software subscription term.

FEES AND PAYMENT

1. Subscription fee:

• The subscription fee for QTahseel will be shown on the Service subscription page inclusive of VAT;
• An invoice for the subscription fee will be automatically generated to the user;
• The user shall pay the invoice to activate the service;
• You hereby acknowledge and agree to pay the subscription fee to activate the service.

2. Service Fee:

• Qoyod charges a Service Fee for each collected invoice, which is calculated on a pro rata basis based on invoices age and amount + VAT;
• The Service Fee payable to Qoyod shall be determined as a percentage of the total invoice amount, including VAT;
• An invoice for the service fee for each collected invoice will be automatically generated to the user;
• The user shall pay the invoice within (5) business days of receipt;
• You hereby acknowledge and agree to pay the service fee.

3. Qoyod reserves the right to change the Subscription Fee and/ or the Service Fee at any time with a prior reasonable notice.

SUBSCRIPTION FEE REFUND

You may cancel your subscription and request a full refund of the subscription fee in case you fail to request the collection of any invoice through the Service within 30 days of your subscription date.

REPRESENTATION AND WARRANTIES

1. You represent and warrant that you have obtained all necessary authorities and consents to enter into this Agreement and subscribe to QTahseel on behalf of an institution, company, organization or any legal entity as its legal representative.
2. We represent and warrant that QTahseel is merely a collection service provided for Qoyod clients upon subscription, for that Qoyod shall under no circumstances be held liable for any monetary transaction losses, delay transaction or any disputes may arise between you and your debtors.

COMPLIANCE

1. You shall comply with Qoyod Terms & Conditions, Qoyod Privacy Policy and all applicable laws, rules and regulations in KSA, in addition to these Terms & Conditions.
2. In case of non-compliance with any of the above, Qoyod reserves the right, at our sole discretion, to suspend your access to QTahseel.

INFORMATION SECURITY

Qoyod is obligated to process any information you provided to access QTahseel in a confidential manner and to process it and share it only in accordance with Qoyod Privacy Policy.

JURISDICTION AND DISPUTE SETTLEMENT

1. These Terms and Conditions shall be governed, construed and interpreted in accordance with the applicable laws of the Kingdom of Saudi Arabia.
2. Any dispute arising out of or in connection with the implementation or interpretation of these Terms and Conditions shall be settled amicably between you and Qoyod, if a settlement can not be reached such dispute shall be referred to the competent court in the Kingdom of Saudi Arabia.

SUSPENSION AND TERMINATION

Your Subscription Term shall be deemed terminated upon:

1. The expiration of your Qoyod Software subscription term.
2. Your request to cancel your subscription and to refund the subscription fee in accordance with the “SUBSCRIPTION FEE REFUND” Clause.

SEVERABILITY

In case any term of these Terms and Conditions is determined to be ineffective, unenforceable, or invalid, then only that term shall be deemed invalid without affecting in any way the rest of these Terms and Conditions.

THIRD-PARTIES

This Agreement governs the relationship between you and Qoyod regarding QTahseel Service, it is not intended to bound nor be enforceable by any third parties.

AMENDMENTS

We may amend these Terms & Conditions from time to time in response to legal, technical, and business development changes. We will provide you with reasonable prior notice of any such amendments. Your continued access and use of QTahseel after the notice period will be deemed as your acceptance of the amended Terms and Conditions.
