Terms & Conditions

Introduction

These Terms and Conditions (hereinafter referred to as “Terms and Conditions” or “Agreement”) are entered by and between you as a user of QTahseel Service and Auto Cloud Company for Telecommunication & Information Technology, a Saudi limited liability company with C.R No. 1010421365, these Terms and Conditions constitute a legally binding Agreement that governs your access to and use of QTahseel.

By subscribing to QTahseel you acknowledge that you have read, understood and accepted these Terms and Conditions.

DEFINITIONS

  • Qoyod/ we/ us: refers to Auto Cloud Company for Telecommunication & Information Technology the owner and operator of QTahseel as an add-on service to Qoyod Software.
  • Qoyod Software: Qoyod Cloud Accounting Software providing invoicing and accounting solutions.
  • QTahseel/ QTahseel Service: refers to the service as defined in these Terms and Conditions.
  • User/ you: refers to Qoyod Cloud Accounting Software clients who subscribe to QTahseel.
  • Service Provider: Legal entities who have entered into an agreement with Qoyod to provide online payment service to our clients.
  • Invoices/ Due Invoices: refers to the user’s due invoice which is generated by Qoyod Cloud Accounting Software and it seeks to collect it through QTahseel.

QTahseel Service

  • QTahseel is a collection service exclusively available to Qoyod clients, which allows them to collect and accept payment for their due invoices through an online payment service provided by a third-party Service Provider licensed by SAMA. This service offers debtors multiple payment options.
  • Payment collection will happen immediately by the Service Provider through the online payment service, while it may take 24-48 hours for the net amount, after deducting the Service fee, to be deposited into your bank account.

AGREEMENT TERM

This Agreement shall take effect on your subscription date and continue for as long as you use QTahseel service unless terminated in accordance with the Suspension and Termination Clause.

QTahseel SUBSCRIPTION

1. For the purpose of accessing and using QTahseel you have to subscribe to the service and create a QTahseel account which requires to provide Qoyod with the following information:

  • Organization Information:
    • Organization Type; Establishment or LLC
    • Organization Industry 
    • Commercial Registration Number
    • License
    • Article of Incorporation (for LLC organizations only)
    • Owner’s ID
    • Manager’s ID
    • Website
  • Bank Information:
    • Bank Name
    • Bank Account Holder Name
    • IBAN Number
  • Organization Documents:
    • Commercial Register
    • Tax Certificate
    • IBAN Letter

2. During the subscription process, you will be given the option to subscribe to Qtahseel+ Service, subject to its separate Terms and Conditions.

3. Once you pay the subscription fee, Qoyod will verify your account within 3 working days, further we will share the listed above information with the Service Provider.

4. Qoyod reserves the right, at its sole discretion, to refuse your subscription request upon notification of the reason.

5. Upon the completion of the QTahseel subscription, you will become a user of QTahseel which indicates you have acknowledged and agreed to:

  • Provide Qoyod with current, accurate, complete, and updated information, and you acknowledge that you are obliged to promptly notify Qoyod of any changes to such information.
  • Your responsibility to maintain the security and confidentiality of your account credentials and you agree that you will be responsible for all the activities under your account.
  • Qoyod reserves the right to verify your information.
  • Qoyod has the right to share your information with the Service Provider.
  • Qoyod is entitled for a service fee as a commission deducted from each payment process settled through QTahseel.
  • Automatically recording the payments made through QTahseel in your account in Qoyod Software, including generating supporting documentation.

6. Neither Qoyod nor the Service Provider shall be held responsible for any delay or failure in payments; due to any incorrect, or inaccurate bank information you provided to Qoyod during the subscription process.

FEES AND PAYMENT TERMS

  1. Subscription Fee: The Fee paid by the user on a monthly basis in return for subscribing to and activating the Service, which is specified on the service subscription page, inclusive of VAT.
  2. Service Fee: A commission deducted from the total paid amount from each payment process inclusive of VAT.

REPRESENTATION AND WARRANTIES

  1. You represent and warrant that you have obtained all necessary authorities and consents to enter into this Agreement and subscribe to QTahseel on behalf of a legal entity as its legal representative.
  2. We represent and warrant that the payment service is provided by a Service Provider, for which Qoyod shall under no circumstances be held liable for any monetary transaction losses, delayed transactions, or any disputes that may arise between you and the debtors.

COMPLIANCE

  1. You are obliged to comply with Qoyod Terms & Conditions, Qoyod Privacy Policy, and all applicable laws, rules, and regulations in KSA, in addition to these Terms & Conditions. 
  2. In case of non-compliance with any of the above, Qoyod reserves the right to suspend your access to QTahseel.

INFORMATION SECURITY

Qoyod is obligated to process any information you provide to access QTahseel in a confidential manner and to process and share it only in accordance with Qoyod’s Privacy Policy.

JURISDICTION AND DISPUTE SETTLEMENT

  1. These Terms and Conditions shall be governed, construed, and interpreted in accordance with the applicable laws of the Kingdom of Saudi Arabia.
  2. Any dispute arising out of or in connection with the implementation or interpretation of these Terms and Conditions shall be settled amicably between you and Qoyod, if a settlement can not be reached such dispute shall be referred to the competent court in the Kingdom of Saudi Arabia.

SUSPENSION AND TERMINATION

  1. Without prejudice to any due commission, you may at any time terminate this Agreement by either deactivating your account at Qoyod or unsubscribing from QTahseel. 
  2. Qoyod may terminate this Agreement by deactivating your QTahseel or Qoyod account, in case of any breach of these Terms and Conditions, Qoyod Terms & Conditions, Qoyod Privacy Policy, and all applicable laws, rules, and regulations in KSA.

SEVERABILITY

In case any term of these Terms and Conditions is determined to be ineffective, unenforceable, or invalid, then only that term shall be deemed invalid without affecting in any way the rest of these Terms and Conditions.

RELATIONSHIP WITH THE DEBTOR

  1. The debtor is not considered a party to this Agreement and shall not be subject to its Terms & Conditions nor be bound to pay any invoice using QTahseel. 
  2. The user hereby authorizes Qoyod to communicate with the debtor via text messages, WhatsApp, or email to notify them of the issuance of invoices and to remind them to pay.

ENTIRE AGREEMENT

These Terms & Conditions constitute the entire Agreement between you and Qoyod regarding the use of QTahseel and shall supersede any previous agreements or understandings related to the collection of your invoices.

AMENDMENTS

We may amend these Terms & Conditions from time to time in response to legal, technical, and business development changes. We will provide you with a maximum of (7) days’ prior notice of any such amendments. Your continued access and use of QTahseel after the notice period will be deemed as your acceptance of the amended Terms and Conditions.
